— 01 —Acceptance.
By creating an account or using Vouch ("the Service"), you agree to these Terms of Service. The Service is operated by Novan LLC, a Maryland limited liability company ("we," "us," "Vouch").
If you're using Vouch on behalf of an organization, you represent that you have authority to bind that organization to these terms.
If you don't agree to these terms, don't use the Service. It's that simple.
— 02 —The service.
Vouch is an electronic signature platform that lets you send documents for signature, capture signatures from one or more parties, generate audit trails, and verify the integrity of signed documents.
We provide the Service "as a service" — meaning we host it, maintain it, fix bugs in it, and improve it over time. We do not provide legal advice, notary services, qualified electronic signatures (QES) under EU eIDAS, or knowledge-based identity verification (KBA). Vouch helps you send and sign documents. We're a tool, not a lawyer. If you need legal advice or notarization, you'll need to go elsewhere for those.
— 03 —Your account.
You'll need an account to send documents. Signers (people who receive a document to sign) don't need an account — they access documents via secure tokenized links.
You're responsible for:
- Keeping your password secure. Don't share it. Use a unique one. Enable two-factor authentication when we offer it.
- Activity under your account. If someone uses your account, we treat it as if you used it.
- Accurate information. Give us a real email address that you actually monitor.
- Notifying us of compromise. If you suspect unauthorized access, tell us at security@vouch.ink immediately.
You must be at least 18 years old to use Vouch.
— 04 —Billing & subscriptions.
Free plan
Vouch Free includes 3 documents per calendar month. No credit card required. We don't expire your account for inactivity.
Paid plans
Paid plans (Operator, Team) are billed monthly in advance. Plan pricing is shown on our pricing page.
By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Subscriptions automatically renew at the end of each billing period at the then-current price.
Refunds
We don't offer prorated refunds for cancellations mid-cycle. You'll keep access through the end of your current billing period. If you believe you've been charged in error, contact us at billing@vouch.ink and we'll review it in good faith.
Price changes
We may change prices for new subscriptions at any time. For existing paid subscribers, we'll give at least 30 days' notice before any price increase takes effect.
— 05 —Acceptable use.
You may not use Vouch to:
- Send documents without the recipient's consent (no spam, no harassment).
- Forge signatures or impersonate others.
- Send documents that are illegal in the jurisdiction where they will be used.
- Reverse-engineer, scrape, or attempt to extract our source code, except to the limited extent permitted by applicable law.
- Interfere with the Service or other users' use of it.
- Use the Service to violate intellectual property rights.
We reserve the right to suspend or terminate accounts engaged in any of the above. We try to be reasonable about this and won't act based on a single isolated complaint without investigating.
— 06 —Your content. Our role.
You own your documents and signatures. Nothing in these terms transfers ownership of your content to us.
To operate the Service, you grant us a limited license to store, display, transmit, and process your content for the purpose of providing the Service to you. This license ends when you delete the content or close your account, except where retention is required by law or for our legitimate business purposes (e.g., audit logs of completed signatures, which are part of the chain integrity).
We don't read your documents for marketing purposes, advertising purposes, or to train AI models. The only people who access your content programmatically are you, your recipients, and our infrastructure. The only people who access it manually are our support engineers, and only when you've asked us to look at something.
Once a document is signed and sealed, the cryptographic audit chain becomes part of its permanent record. We retain it for a minimum of 7 years to comply with ESIGN/UETA recordkeeping requirements. You can export it at any time. We cannot alter it — that's the point.
— 07 —Disclaimers.
The Service is provided "as is" and "as available." We do our best to keep it running, but we don't promise it will be free of bugs, available without interruption, or fit for a specific purpose beyond what we describe in our marketing materials.
To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Vouch is not a notary public, not a law firm, and does not provide legal advice. The validity of an electronic signature in your specific transaction depends on the laws of the jurisdiction where the transaction occurs and the nature of the document. See our compliance page for details.
— 08 —Limitation of liability.
To the maximum extent permitted by law, our total liability to you for any claim arising out of these terms or your use of the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) one hundred US dollars ($100).
We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we've been advised of the possibility.
Some jurisdictions don't allow these limitations. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
— 09 —Termination.
You can stop using the Service at any time by closing your account from your settings page. Cancellation of a paid plan takes effect at the end of your current billing period.
We may suspend or terminate your account if you violate these terms, if we're required to by law, or if continued service would expose us to legal or financial risk. We'll generally give notice before doing so unless the situation is urgent.
When your account closes, we'll delete your unsigned drafts and personal information after a reasonable retention period. Completed signed documents and their audit chains are retained for the full statutory period (minimum 7 years) regardless of account status — you can download them before closing your account, or request copies during the retention window.
— 10 —Governing law.
These terms are governed by the laws of the State of Maryland, without regard to conflicts-of-law principles. Any dispute arising out of these terms or your use of the Service will be resolved in the state or federal courts located in Baltimore, Maryland, and you consent to the personal jurisdiction of those courts.
If any provision of these terms is found unenforceable, the remaining provisions stay in effect.
— 11 —Changes to these terms.
We may update these terms from time to time. When we do, we'll change the "Last updated" date at the top of this page and notify active users by email at least 14 days before material changes take effect.
Your continued use of the Service after changes take effect means you accept the updated terms. If you don't agree to the changes, your remedy is to close your account before they take effect.
