Who's behind this
vouch.ink is a product of Novan LLC, a Maryland limited liability company ("we," "us," "Novan"). It's used by The Mindful Landlord and is sold to anyone who needs an ESIGN/UETA-compliant electronic signature on a PDF.
These Terms cover two kinds of users: Senders (account holders who upload documents and request signatures) and Signers(recipients who use vouch.ink to sign a document a Sender sent them). By doing either, you agree to these Terms.
What vouch.ink does
vouch.ink lets a Sender upload a PDF, place fields on it, send it to one or more Signers, collect their electronic signatures, and produce a tamper-evident final PDF accompanied by a Certificate of Completion. The signing process is designed to satisfy the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted in 49 states and D.C.
We are a software service. We do not draft your documents, give legal advice, or guarantee a particular outcome in court. The legal weight of any signed document depends on the document itself, the surrounding facts, and the law of the jurisdiction where it's enforced.
Your account
You're responsible for keeping your login credentials confidential and for everything that happens under your account. If you think someone else is using your account, email security@vouch.ink immediately and we'll lock it.
Accounts are personal to a human or to an organization. You can invite other members to your organization on the Team plan; each member needs their own credentials. Sharing one login between people defeats the audit trail and is a Terms violation.
Acceptable use
You agree not to:
- Use vouch.ink to send documents you don't have the right to send;
- Forge a signer's identity or impersonate someone else;
- Use the service to distribute malware, phishing content, or unlawful material;
- Reverse-engineer, scrape, or attempt to bypass our security controls;
- Upload content that violates intellectual property, privacy, or other laws;
- Use vouch.ink for transactions that ESIGN§ 7003 specifically excludes from electronic signature (wills, codicils, testamentary trusts; certain notices of default, foreclosure, or termination of utility service; certain notices governing the cancellation of life or health insurance; product recalls affecting health or safety; and certain shipping documents for hazardous materials).
We may suspend or terminate any account that violates these rules. If we do, we'll preserve your audit trail and signed documents and give you a reasonable window to export them — except where law enforcement or a court order requires otherwise.
The signature itself
When a Signer clicks "I agree to sign electronically" on the consent screen, they're affirmatively consenting under ESIGN § 7001(c) to do business electronically. We capture that consent — the timestamp, the IP address, the user-agent, and the exact text shown — and bind it into the audit chain.
When the Signer adopts a signature and completes their fields, the signature is bound to that Signer's invitation token, IP, and timestamp. When all required Signers have signed, we seal the PDF, compute a SHA-256 hash of the final bytes, write that hash into the database and the audit log, and append a Certificate of Completion.
The signed PDF and its Certificate are the authoritative legal record. You can download both at any time from your account.
Ownership of your content
You own your documents. We don't claim any rights to the PDFs you upload, the templates you create, or the signed records you produce. You grant us a narrow license to process, store, and display your content solely as needed to operate the service for you.
We will never read, mine, or train models on your documents. We will never share or sell your data to advertisers. We will never use your documents as marketing examples without your prior written permission.
Privacy and data protection
Our handling of personal data is governed by the Privacy Policy, which is part of these Terms by reference. The short version: we collect what we need to operate the service and to make the audit trail thorough, we don't collect more than that, and we don't share it.
Pricing, billing, and the free tier
Free and Pay-as-you-go accounts can create up to five (5) documents per calendar month. Operator and Team plans are unlimited. Pricing shown on the pricing page is in U.S. dollars and may change with thirty (30) days' notice to active subscribers.
Paid plans renew automatically. You can cancel anytime from your account; cancellation takes effect at the end of the then-current billing period. We don't pro-rate refunds for partial months but we do honor genuine billing mistakes.
If you stop paying, your account moves to the Free tier — the audit trail and signed documents you already produced remain accessible and downloadable. We won't hold your evidence hostage.
Service availability
We aim for high availability but don't promise zero downtime. The service is provided "as is" and "as available." We are not liable for losses that result from service interruptions, dependencies on third-party providers (Supabase, Resend, Railway, Netlify, Stripe), or events outside our reasonable control.
Termination and data retention
You can delete your account at any time. When you do, we retain your signed documents and their audit trails for seven (7) years from the date the document was sealed — this is the retention window we believe satisfies the substantive law of most U.S. jurisdictions, and is required to keep the evidence enforceable. Drafts and unsent documents are deleted within thirty (30) days of account deletion.
You can request deletion of specific signed documents earlier, but we will keep the audit log entries (without the PDF contents) so the chain remains intact. Where law requires longer retention (court order, regulatory hold), we comply.
Disclaimers and limits
No legal advice. We are software builders, not lawyers. Nothing on vouch.ink — these Terms, the marketing pages, the Compliance page, the Certificate of Completion — is legal advice. Consult an attorney for your specific situation.
Limitation of liability. To the fullest extent allowed by law, our total liability for any claim arising from your use of the service is capped at the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100). We are not liable for indirect, incidental, special, consequential, or punitive damages.
Indemnification. You agree to defend and indemnify Novan LLC against claims arising from documents you uploaded, from your violation of these Terms, or from your violation of third-party rights.
Governing law
These Terms are governed by the laws of the State of Maryland, without regard to conflicts-of-law principles. Any dispute arising from these Terms or your use of vouch.ink will be resolved in the state or federal courts of Baltimore City, Maryland, and you consent to the personal jurisdiction of those courts.
Changes
We may update these Terms over time. Material changes will be announced via the email on file at least thirty (30) days before they take effect. The Effective Date at the top of this page always reflects the current version.
